1. Introduction and Scope of Agreement
This User Agreement (“Agreement”) constitutes a legally binding contract between you (the “User”) and Miradike Agency Ltd. (“Platform,” “we,” “us,” or “our”). This Agreement governs your access to and use of the miradikeagency.com marketplace, encompassing property listings, e-commerce storefronts, and related services. By accessing the Platform, you accept these terms in full.
2. Dual-Role Disclosure: Brokerage and Open Marketplace
Miradike Agency Ltd. operates under a dual capacity:
- Licensed Real Estate Brokerage: We list, market, and manage our direct property portfolio within Abuja and nationwide.
- Open Technology Marketplace: We provide software infrastructure allowing independent third-party real estate agents, agencies, and developers to list their respective properties.
Liability Limitation: When you interact with a property listed by a third-party agent, Miradike Agency Ltd. acts strictly as a technology intermediary. We explicitly disclaim liability for the condition, legal standing, or accuracy of third-party property listings. Users must conduct independent verification.
3. Acceptable Use and Listing Standards
To maintain marketplace integrity, all Users submitting listings must adhere to the following standards:
- Accuracy: Bait-and-switch pricing, deceptive photography, and false availability statuses are strictly prohibited.
- Fair Housing: Listings must comply with Nigerian housing laws and must not contain discriminatory language regarding race, religion, gender, or ethnicity.
- Miradike Agency Ltd. retains the absolute right to modify, suspend, or permanently delete any listing or account that violates these standards without prior notice.
4. Property Inspections and Physical Viewings
The Platform facilitates the scheduling of physical property inspections.
- Assumption of Risk: Users attend property inspections entirely at their own risk. Miradike Agency Ltd. is not liable for any injury, loss of property, or damages sustained during a physical viewing.
- No-Show Policy: Repeated failure to attend scheduled inspections without prior cancellation may result in account suspension.
5. Joint Venture (JV) Disclaimer
The Platform permits the listing of Joint Venture (JV) opportunities between landowners and developers. Miradike Agency Ltd. functions solely as an introductory conduit for these listings. We are not a legal party to any off-platform JV agreements, memorandums of understanding, or profit-sharing contracts formed between Users, and we assume no fiduciary duty regarding their execution.
6. Intellectual Property
By uploading photographs, architectural plans, or text to the Platform, you grant Miradike Agency Ltd. a non-exclusive, royalty-free, nationwide license to display, reproduce, and market that content. You warrant that you hold the necessary copyright permissions for all uploaded media and that it does not infringe on third-party rights.
7. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from the general use of this Platform shall be subject to the exclusive jurisdiction of the courts located in the Federal Capital Territory, Abuja.
Vendor and Agent Membership Agreement
This Vendor Agreement establishes the legal framework for independent real estate agents, developers, and corporate agencies (“Vendors”) utilizing the Miradike Agency Ltd. dashboard to list properties and manage client subscriptions.
By registering a Vendor account and submitting KYC documentation, you agree to the following commercial terms.
1. Subscription Billing, Upgrades, and Cancellations
Vendor access to listing tools and the membership dashboard is provided on a subscription basis. All payments are processed securely via our integrated payment gateways (e.g., Paystack, Flutterwave).
- Invoicing: Invoices and payment histories are automatically generated and maintained within the Vendor membership dashboard. Vendors are responsible for maintaining active payment methods to prevent listing suspension.
- Plan Management: Vendors may upgrade their subscription tier or cancel their active membership at any time directly through the dedicated membership page within their dashboard.
- Cancellation Execution: Initiating a cancellation immediately revokes all future automated billing. However, the Vendor’s current plan will not terminate immediately; the Vendor will retain full access to their dashboard and active listings for the duration of the remaining days in their current paid billing cycle.
2. Refund Policy for Digital Memberships
Given the digital nature of the dashboard access and listing infrastructure, our refund policy is strictly enforced:
- Monthly Subscriptions: All monthly subscription payments are final and strictly non-refundable under any circumstances.
- Annual Subscriptions: Refund requests for annual subscriptions will only be considered if submitted within the first thirty (30) days of the billing cycle. Approval of annual refund requests rests entirely at the absolute discretion of Miradike Agency Ltd.
3. Vendor Representations and Warranties
By uploading any property for rent, sale, lease, or Joint Venture, the Vendor legally warrants that:
- They possess the direct, legally sound authority from the property owner to market the asset.
- The property is not subject to undisclosed litigation or government acquisition.
- All submitted documentation and pricing details are accurate at the time of publication.
In the event of a fraudulent listing or misrepresentation, the Vendor agrees to fully indemnify and hold Miradike Agency Ltd. harmless against any resulting legal claims, financial losses, or regulatory fines.
4. Account Suspension and Termination
Miradike Agency Ltd. reserves the right to immediately revoke dashboard access, freeze accounts, or terminate this agreement if a Vendor:
- Fails to clear subscription invoice arrears following the expiration of their plan.
- Uploads fraudulent, misleading, or unauthorized property listings.
- Circumvents the Platform’s communication or escrow protocols.
